Terms of Service
Last updated: 13 September 2026
These Terms and Conditions (“Terms”) govern use of the Optiwises website, software, platforms and related services. By creating an account, purchasing a subscription, accepting an Order Form or using our Services, you agree to these Terms. If you act for an organisation, you confirm that you are authorised to bind it.
“Optiwises”, “we”, “us” or “our” means Kursy Julien, registered in Mauritius at 44, New Ste Marie Ste Croix. “Customer”, “you” or “your” means the person or organisation using or purchasing the Services.
1. Services
Optiwises provides business software and digital services including AI Hub, Studio Next, CRM, Support Desk, Planner, portals, reporting, workflows, Property Hub, industry modules, AI tools, automation, APIs, integrations, website management, hosting, implementation and support. The Services supplied are defined by the applicable subscription or agreement.
2. Accounts and Business Use
Our Services are primarily for professional use. You are responsible for accurate account information, protecting credentials, managing permissions and complying with applicable law. Notify us promptly of suspected unauthorised access or security incidents.
3. Subscriptions and Payment
Services may be licensed by user, module, website, property, organisation, storage, usage or another commercial metric. Access is limited to subscribed features and licences are non-transferable unless agreed otherwise.
You must pay all fees stated in the applicable subscription, quotation, invoice or agreement. Fees are generally exclusive of taxes and non-refundable except where required by law or expressly agreed. Pricing may change for future renewals. Additional services may be charged separately.
4. Trials and Beta Features
Trials, previews and beta features may be limited or experimental, changed without notice or withdrawn at any time. Unless expressly agreed, they have no service-level commitment.
5. Customer Data and Privacy
You retain ownership of content submitted to the Services (“Customer Content”). You grant Optiwises the limited right to host, process, transmit and use Customer Content as necessary to provide, secure and support the Services, comply with law and fulfil contractual obligations.
You are responsible for having the rights and lawful basis required to provide Customer Content. Each party must comply with applicable data-protection law. Our Privacy Policy and any applicable data-processing terms also apply.
6. AI and Automation
Some Services use AI, machine learning or automation to generate text, summaries, recommendations, analyses, forecasts, website content or other output (“AI Output”). AI Output may be inaccurate, incomplete or outdated and should be reviewed before important decisions or external use.
AI Output is not a substitute for regulated professional advice. Customers remain responsible for its use and for automated workflows.
7. Third-Party Services
Optiwises may integrate with third-party APIs, AI providers, payment services and other platforms. These services operate under their own terms and may change or become unavailable.
By enabling an integration, you authorise the information exchange necessary to operate it and confirm that you have permission to connect the external service.
8. Acceptable Use
You must not use the Services to violate law, infringe rights, distribute malware, gain unauthorised access, interfere with security, commit fraud, impersonate others, bypass restrictions, extract data without authorisation, attack systems, reverse engineer where prohibited, or resell the Services without written permission. We may investigate misuse and take protective action.
9. Intellectual Property
Optiwises and its licensors retain all rights in the platform, software, source code, designs, workflows, databases, documentation, trademarks, templates and technology. These Terms grant only a limited right to use the Services and do not transfer ownership.
10. Studio Next, Websites and Hosting
Customers using Studio Next or website features are responsible for published content, legal notices, privacy, accessibility, cookies and intellectual-property permissions.
Where hosting or domain configuration is included, Optiwises will use reasonable efforts to maintain availability. Customers remain responsible for domain renewals unless expressly included.
11. Backups and Availability
Optiwises may maintain operational backups, but Customers should keep any independent backups required for their business. Services may be unavailable due to maintenance, updates, security incidents, infrastructure or internet failures, third-party outages or events outside our reasonable control. Specific availability commitments apply only under a separate SLA.
12. Service Changes and Support
We may modify, replace or discontinue features for product, security, legal, technical or third-party reasons. We will use reasonable efforts to avoid materially reducing core paid functionality without appropriate notice where practical.
Support channels depend on your plan. Response and resolution times are estimates unless covered by an SLA.
13. Suspension and Termination
We may suspend Services for overdue payment, security risks, unlawful activity, material breach or activity threatening our infrastructure or users. Where reasonable, we will provide notice and an opportunity to resolve the issue.
Upon termination, access ends, outstanding fees remain payable and Customer Content may later be deleted under our retention policies. Customers should export required information before termination where available.
14. Renewal and Cancellation
Renewal and cancellation follow the applicable subscription or agreement. Where automatic renewal applies, the subscription renews unless cancelled under the agreed terms. Cancellation normally prevents future renewal and does not refund the current billing period unless required by law or agreed in writing.
15. Confidentiality
Each party must protect confidential information with reasonable care, use it only for the business relationship and disclose it only to persons who need access and are subject to confidentiality obligations. This does not apply to information that is public, independently developed or lawfully obtained elsewhere.
16. Warranties and Liability
Optiwises will provide paid Services with reasonable skill and care. Except where expressly agreed or required by law, Services are provided on an “as available” basis. We do not guarantee uninterrupted operation, correction of every error, continued availability of third-party integrations or accuracy of AI Output.
To the maximum extent permitted by law, Optiwises is not liable for indirect, incidental, special, consequential or punitive damages, including loss of profits, opportunity or goodwill. Unless otherwise agreed in writing, our aggregate liability for a Service will not exceed the fees paid or payable for that Service during the 12 months before the event giving rise to the claim.
17. Customer Responsibility and Indemnity
You remain responsible for your operations, Customer Content, user permissions, compliance, third-party systems, automation settings and review of important AI Output. To the extent permitted by law, you agree to indemnify Optiwises against third-party claims arising from unlawful Customer Content, infringement, misuse of the Services or material breach of these Terms.
18. Force Majeure
Neither party is responsible for delay or failure caused by events beyond reasonable control, including natural disasters, internet or telecommunications failures, war, government action, cyber incidents or critical third-party failures. Payment obligations already due are not excused.
19. Changes to These Terms
We may update these Terms to reflect changes to our Services, technology, security, law or business practices. The latest version will be published with its updated date. Reasonable notice will be provided for material changes where required.
20. Order of Precedence
If these Terms conflict with a signed agreement, the signed agreement applies first, followed by the applicable Order Form or Statement of Work, Data Processing Agreement for personal-data matters, applicable SLA, these Terms and supporting documentation, unless otherwise agreed.
21. Governing Law and General Terms
Unless otherwise agreed in writing, these Terms are governed by the laws of the Republic of Mauritius and disputes are subject to the competent courts of Mauritius, subject to mandatory legal rights.
Failure to enforce a provision is not a waiver. If any provision is unenforceable, the remainder continues in effect. Customers may not assign these Terms without prior written consent. Optiwises may assign them as part of a merger, restructuring, acquisition or sale of the relevant business.
These Terms, together with any applicable Order Form, Statement of Work, Privacy Policy, Data Processing Agreement, SLA and other incorporated agreement, form the agreement governing the Services.
